Panama mortgage financing

The following are the average terms and conditions of mortgage banks in Panama. This mean that specific rates and conditions may vary from bank to bank.

Financing:

Between 60% - 70% of the purchase price or appraised market value, whichever is the lesser.

Interest Rate:

From 6.5%, plus FECI 1% per year.

Amortization:

Maximum amortization of 20 years divided into Five (5) years renewable at the Bank’s option for three (3) additional terms of five (5) years each. The maximum amortization period will be subject to factors such as Borrower(s) age and Net Worth.

Security:

First mortgage over the property.

Insurance:

Banks generally require that the borrower(s) contracts a life insurance policy for the amount of the loan, endorsed to the Bank, and a fire insurance policy with catastrophic extension for the amount of the loan, endorsed to the Bank. The insurance must be underwritten in Panama.

Bank Commission:

Approximately 1% of the amount of the loan payable at time of loan drawdown.

Other Conditions:

1. The borrower(s) cover all legal and registration expenses charged by Bank.
2. An appraisal of the property given as security to report an estimated market value at least equal to the purchase price.
3. Opening of a savings account, through which, the payments for the loan will be deducted, with a minimum balance equal to three (3) monthly installments.
4. The customer must meet with the lending officer at the Bank at least once.

Documentation Required:

Job letter and copy of two pay slips (for borrowers currently earning a salary).
Copy of the last three personal income tax declarations and/or business income tax declarations or audited financial statements.
Two clear copies of the ID cards or passports. Copy of all the pages in the passport.
Adequate verification of sufficient personal assets (copy of bank account statements, real estate titles, bonds, common stock, etc.).
Copy of the Purchase-Sale Agreement.

Panama real estate taxes

Transfer tax must be paid by by seller at the moment of transfer of the property.

A 2% real estate transfer tax is levied on the transfer of real estate based either upon (1) the sale price stated in the official purchase/sale document (sale contract) or (2) upon the official property value, which ever is higher.

The taxpayer may choose to pay either (1) the 2% real estate transfer tax over the greater of the purchase price of the property or the oficial property value, increased by 5% per year of tenancy, or (2) to pay income tax at a 10% rate based upon the assessment value plus a 10% increase for each year of tenancy. If the taxpayer chooses this second option, no further taxes on capital gains on the transaction are levied.

Sale of a new residential property is exempt from this tax if the buyer uses it as a personal residency.

The real estate transfer tax can be offset as a direct credit against the income tax levied on a capital gain arising from the sale, if any.

Income on capital gains resulting from the sale of real estate is taxed in full and on a separate basis regardless of whether the company or the individual had a net taxable income or a net operating loss.

Real Estate or Property Tax

All land and real estate improvements thereon located in Panama are subject to real estate taxes.

Real Estate tax is appraised by an agency of the Ministry of Economics and Finance. It must be paid according to the official assesment value, which is usually the declared value on the sale document.

The maximum annual percentage of assessment is 2.10% which is based upon two items: (a) over the value of the land, and (b) over the declared value of the improvements built.

The taxable base will depend upon the total value of the land plus all improvements. Real estate transactions at prices of more than the appraisal value will automatically increase the value of said properties for tax purposes. Certain properties and improvements thereon are exempt or can obtain exemptions from real estate taxes according to special incentive tax laws.

Real Estate Properties with assessed official values of less than US$30,000.00 are exempt from taxes. Real estate taxes have priority over all incumberances on the property.

Taxes can be paid in three installments, namely by April 30th, August 31st, and December 31st.

A tax clearance certificate must be obtained before any real estate transaction can be completed and will be required by the Panamanian Public Registry Office for any transaction regarding the property.

Now there are other projects in the pipeline in the Pearl, Veraguas and the Parida islands, showing that investors were awaiting this law....

INTRODUCTION

During recent years, Panama has become a top destination for tourists, investors and retirees from all over the world. Most retirees or “pensionados” come looking for more friendly, secure and affordable communities, such as Boquete, Volcan, the Caribbean islands of Bocas del Toro, the Pacific beaches and, of course, cosmopolitan Panama City.

Incentives for tourism investments were first granted by means of Law 8 of June 14, 1994. The enactment of this law began the process of branding Panama as a tourism destination, attracting investors and tourists alike, but mainly in the hospitality sector.

In the last few years, resort residential communities have taken off and entrepreneurs have identified islands such as the Archipelago of Bocas del Toro to develop their projects, but found that most of the lands in these areas were yet to be titled, thus making the process of installing their projects more difficult.

As early as 2003, a group of foreign and Panama lawyers and entrepreneurs headed by Juan Pardini and JJ Espino identified the serious problems with certain land transactions known as “rights of possession” and started lobbying with authorities and senators from the government of Panama to enact legislation to regulate land tenure and establish clear rules of the game to title land for tourism projects and local inhabitants. The government became aware of the need for second-home or retirement investors to obtain registered title to the lands where their projects are to be developed and secure legal stability for their investments. With this in mind, the Cadastral Land Office (locally known as Catastro) headed by Benjamin Colamarco with the help of Edgar Aguilera, Irma Lee, Carlos Moreno and others promoted a bill of law early in 2005 which after extensive discussions and debates with multiple groups was approved and enacted by the Legislative Assembly as Law No. 2 of January 7, 2006 “which regulates concessions for tourism investment and the sale of island territory for purposes of tourism development and other provisions” (and an Executive Decree containing the enabling regulations for Law No. 2 to be enacted soon), also referred herein as the “Island Law”. This law provides legal security, clear procedures and continuity to the efforts to promote tourism investments in Panama, as set forth in Law No. 8 of 1994.

Panamanian law distinguishes between two kinds of property: (a) private or titled property, and (b) public or state-owned property.

Titled property is that whose ownership, area, value, boundaries and other details are duly recorded at the Public Registry of Panama. The Public Registry of Panama contains a centralized record system of all titled property in the Republic of Panama.

State-owned property is all land and territories owned by the Republic of Panama, which can be used by a private person (individual or company) if an administrative concession has been granted over the same for a limited period of time. State-owned properties can also be exploited or used for agricultural purposes by persons in the event a possession rights certificate has been granted by the Agrarian Reform of the Ministry of Agriculture. Rights of possession (in this article referred to as “RoPs”) have also been recognized by local authorities such as Municipalities and Regiments (“Corregidores”). Law No. 2 of 2006 acknowledges RoPs granted by any of the authorities identified above, subject to the process established for the issuance of concessions.

Law No. 2 of 2006 provides to tourism investors the opportunity to either obtain a long term concession or acquire and title the property where they will undertake their projects.

CONCESSIONS

Concessions can be defined as leasehold agreements between the Ministry of Economics and Finance through the Cadastral Office, a government institution in charge of the management of all state owned property, and individual persons or companies for a determined period of time. Once the concession is granted the person awarded the concession must pay to the Ministry of Economics and Finance an agreed lease amount.

Law No. 2 provides the following additional characteristics for concessions over areas located in the tourism zones as defined by the Ministry of Tourism, whether located on islands, coastal lands, and other properties of the State, to be granted for tourism projects:

Longer concession periods granted to investors for use of state-owned lands:
Law No. 2 of 2006 establishes concession periods of 40 years with the option for an extension of 30 years.
There also exists the possibility of a concession for 60 years, with an extension for an additional 30 years.
The length of the concession will depend on the amount of the investment and potential for generation of employment, subject to the parameters to be set by the Ministry of Economics and Finance.
The granting of these concessions will be awarded by means of a public bidding procedure as it will be more fully detailed in the enabling regulations.
An express procedure for the procurement of concessions over lands to be used for tourism projects.
All improvements and buildings constructed over concession areas may be titled and recorded in the Public Registry. This will facilitate procurement of financing for the investors as well as the option to sell, lease, transfer, mortgage or in any other manner make use of the concession granted to him and the improvements attached thereon.

Law No. 2 of 2006 creates an “Express Window” (“Ventanilla Unica”) within the Cadastral Office of the Ministry of Economics and Finance in charge of receiving all applications as well as processing all approvals and authorizations required for concessions. This special department will have representatives from all entities whose approval is necessary to complete the concession contract and start a project. To speed up project start-up, and once the developer present all basic requirements, this Express Window department may issue a provisional authorization to begin operations, while the developer complete all remaining requirements for the permanent concession.

Among the requirements to be provided to the Ministry of Economics and Finance to obtain the concessions created by this law are:

· Preliminary development master plan of the property.

· Project budget.

· Development program and execution schedule.

· Evidence of financial capability of the petitioner.

· Certificate issued by the Ministry of Tourism certifying that the requested area is located within a tourism development zone.

· Approved Environmental Impact Study.

· Certificate that the petitioner is registered before the Tourism Enterprise Registry of the Ministry of Tourism.

· Performance bond for 10% of the value of projected works, which will expire once the improvements are recorded.

DIRECT PURCHASE

Islands, whose ownership, according to the Constitution of Panama, up to now, was limited to nationals, have always been an area of special interest for tourism related investments.

Law No. 2 of 2006 provides the following incentives to foreign or national individuals or corporations interested in purchasing island territory for developing a tourism project:

· Island territory may be sold for tourism related purposes, provided an affidavit is granted, confirming the purpose of the investment and the number of jobs to be created.

It is important to repeat that no more than 50% of an island can be sold to foreigners or foreign interests in a corporation. The sale of island territory must be submitted to a public bidding procedure as it will be more fully detailed in the enabling regulations and obtain the approval of the Ministry of Economics and Finance. However, projects over RoPs or already initiated or undertaken on an island before the enactment of Law 2 may request direct sale of the island property.

· Individuals or corporations legally occupying island territory will have the right to obtain concession of the same and be able to transfer it to a third party.

The contract for purchase of island territory must include at least the following:

· Description of the land granted for sale, including area, measures and boundaries.

· Value of the land object of the sale. The price will not be less than the average of the appraisals made by the Ministry of Economics and Finance and the Cadastral Office.

· Estimated amount and details of the investment, including the amount to be invested in utilities and infrastructure for the project.

· Environmental Impact Study and Mitigation Plan.

· Complete description of the project in its definite phase, including investment amounts and execution term for the development of the project.

· Description of beach easements, which can be no less than 22 meters.

· Precise description of the public domain assets located within the island territory.

· A bond of at least 10% of the value of the contract and that will be valid during the term of the project. This bond will expire proportionally as the improvements are recorded.

All projects within these areas must comply with the territorial zoning master plan to be prepared by government authorities. Until this master plan is approved, each project may submit its own zoning plan which will be processed and approved through the Express Window.

The same “Express Window” (“Ventanilla Unica”) within the Cadastral Office of the Ministry of Economics and Finance will be in charge of receiving all applications as well as processing all approvals and authorizations required for direct purchases of island territories.

RESTRICTIONS

Due to the nature of islands, and for sovereign protection purposes, the following restrictions have been set for these special tourism areas:

· They cannot be located less than 10 kilometers from the borders.

· They cannot have been designated as historical patrimony or national patrimony.

· They, due to their characteristics, cannot have been dedicated to the conservation of the environment or for forest or scientific purposes.

· They cannot be part of Indian territory.

The sale of these special tourism areas cannot exceed 50% of the total territory of each island and ownership cannot be transferred to another State. Tourism projects pursuant to Law 2 cannot exceed 30% of the total territory of an island.

As an effort for nature conservancy, the following limitations have been set for certain areas:

The construction over coral formations is forbidden as well as any activity that may cause the death or destruction of their ecosystem.
The cutting, use or commerce of swamp forests, their products, parts or derived products is forbidden, except for tourism projects after the approval of the respective environmental impact study.

As a final note regarding restrictions, concessions and sale of beachfront property may only be granted up to 22 meters as of the line of high tide. The area of 10 meters as of the line of high tide is considered beachfront and cannot be granted in concession under any circumstances. The area of 12 meters as of the beachfront can be granted in concession as a coastal easement.

SPECIAL SITUATIONS

Law No. 2 of 2006 cover a special procedure for individuals domiciled in an area, who have kept a permanent and uninterrupted possession of national island property, for at least 2 years before the enactment of the law, and prove that they have used such property for their own home or agricultural purposes.

These persons will be granted a concession for a period of 90 years without having to participate in a public bid process, plus not having to comply with the requirement of posting a bond and, being exempted from payment of the concession lease.

A corporation that properly purchase the RoPs from an individual resident in the area who proves that he complied with the requirements of Law 2 will be subrogated in the rights of such person for purposes of obtaining the concession.

Another special situation set forth in Law No. 2 of 2006 is the obligation of concessionaires and investors to hire non-skilled local personnel from the area during the construction of the project.

2ND HOME & VACATIONAL HOUSING

In an additional effort to promote residential tourism investments in Panama, Law No. 2 also provides incentives for “Vacational or Permanent Residential Units”. The purpose for this incentive is to promote the development of vacation and retirement homes or buildings, which may be built over concession areas on islands or coastlands, provided they are located within a tourism development zone as defined by the government and only one parcel per petitioner. These projects additionally will enjoy the incentives and benefits of Law 8 of 1994. Enabling regulations will be enacted to provide rules for the size of the parcel, costs of constructions and improvements over the same.

CONCLUSIONS

Law No. 2 of 2006 confirms the decision of the Government of Panama to support, promote and grant more legal security to tourism investments plus an orderly development and a better use of the island and coastal resources of Panama. The implementation of this Law No. 2 of 2006 will definitely result in benefits and profits for both the tourism industry and the country of Panama and its people.

Garrido & Garrido considers of paramount relevance to provide long term appropriate protection and organization of clients’ assets. It is with this goal in mind that our expertise in Private Interest Foundations and/or Trust Funds delivers true asset protection in advantageous jurisdictions, such as Panama, Liechtenstein, Belize, Malta, and others. The impetus for the creation of a Private Interest Foundation law in Panama had arisen from their popularity in Europe, more specifically in Switzerland, due to the Family or Mixed Foundation (stiftung) of the Principality of Liechtenstein. A Private Interest Foundation is defined to be the dowry or donation of a patrimony for objectives or aims determined in a document entitled an Original Act. This legal framework could be regarded as a fusion between a Trust and a joint-stock company. The achievement of the Foundation’s objectives are trusted upon natural persons who are regarded to be members of the Foundation Council and comprise what functions as a Board of Directors and whose names must be established in the Founding Act. The initial patrimony of the Foundation can be increased periodically by the creator(s) of the Foundation, who will be entitled founder, or by any other person or persons. Further, the persons or institutions that receive benefits from the Foundation are known as beneficiaries. The donated funds or patrimony will be treated separately from the personal assets of the founder, in this sense, the aforementioned donated funds or patrimony constitute an autonomous fund and acquire the character of an independent legal entity, becoming a Private Foundation. Unlike a joint-stock company, the Foundation does not have partners, participants or shareholders. Consistent with its constitution, the founder does not acquire the said privileges in connection with the assets of the autonomous fund. Notwithstanding the above, the law recognizes the beneficiaries, that is, the people for whom the Foundation objectives are organized and realized, among which the founder may be included, the right and privileges of the Foundation.

We must point out that the main difference between a private interest Foundation and a Charity Foundation, or a Foundation with Scientific objectives; is that the latter must be duly authorized by the Ministry of Government and Justice of the Republic of Panama; while the Private Interest Foundation beings its existence or acquires juridical or legal personality, once it is inscribed in the Public Registry, for which we must only comply with the formalities established by law.It is important to mention that although this type of Foundation may not carry out charity activities, they hold great real and practical use for all the community. Being it a permanent institution, it offers the possibility to establish and emulate, even after the death of the founder, the certain ideas and objectives that this person had in mind for his capital or patrimony ; the destiny of the same one; as the planning of the familiar patrimony.Law No. 25 of June 12, 1995 by which Private Interest Foundations are regulated, clearly details its manner of constitution and operation. The law binding dispositions enclosed in the mentioned law have been implemented by means of executive Decree No. 417 of August 8, 1995 , by which the Division of Private Interest Foundation was created in the General Direction of the Public Registry and its manner of constitution, modification and extinction was established.MAIN ATTRACTIVE POINTS IN THE CREATION OF PRIVATE INTEREST FOUNDATION IN PANAMA:
They are exempted of all tribute, contribution or burden in the Republic of Panama (with the exception of the Annual Tax Fee of US$300.00). Therefore, they are also exempted of the payment of income tax patrimonial tax, property tax and transfer tax. To this listing of exemptions, we can add the non payment of titles, certificates of deposits, values, moneys or shares used in the achieving of the Foundations´ aims or objectives or because of the extinction of the Foundation, in favor of relatives within the first degree of consanguinity and of the spouse of the founder.
Complete Secrecy and Anonymity: The Private Interest Foundation Law establishes that the member of the Foundation Counsel, the supervisors, as well as any person or institution who, because of their functions, obtains information relates to the activities, transactions or operations of the Private Interest Foundation, is complied to complete secrecy. The infringement of this disposition entails severe penal and financial sanctions.
There is no legal disposition demanding the disclosure of the names of the real founders or beneficiaries of the Foundation.
There is no obligation to register any type of annual income tax return or financial statement.
A rapid constitution proceeding.
Reasonable price of incorporation and maintenance.
No maximum legal capital permitted.
Possibility of realizing any civil or commercial transaction (non-customary) in any part of the world with any legal currency.
The Foundation Act can be signed by the client or by his legal or fiduciary representative.
The Foundation can relocate or continue to exist as a Private Interest Foundation in the Republic of Panama , following a very simple continuance proceeding.
The good that constitute the patrimony of the Foundation cannot be seized or injucted.
The legal binding disposition in inheritance matter, valid in the domicile of the founder or of the beneficiaries, cannot be opposed to the Foundation and will not affect its duration or the realization of its objectives.
CHARACTERISTICS OF A PRIVATE INTEREST FOUNDATION IN PANAMA:
The main characteristics of the Private Interest Foundation are:
Any person (natural or juridical) can constitute it by himself or by empowerment to a third person.
They do not pursue profitable aims, but can realize non-customary commercial transaction. For example, the Foundation can constitute itself in a financial group holding of a financial group.
They can be constituted in a way that its objectives begin to develop before or after the death of the founder.
The Foundation Act and its modification can be prepared in any language of the Latin alphabet. In the event that the Founding Act or its modifications is in language different from that of Spanish, it will have to be notarized along with its translation done by an Authorized Translator of the Republic of Panama.
The Foundation Act most contain the following information according to the Article 5 of the Private Interest Foundation Law:
Name of the Foundation, which most not resemble any other name already registered.
Initial capital or patrimony, expressed in legal currency, no less than the equivalent of ten thousand US dollar (US$10,000.00).
Designation, including complete name and address, of the members of the Foundation Counsel, which will not be inferior to three(3).
Domicile of the Foundation.
Name and address of the Resident Agent, which must be an attorney.
Objectives of the Foundation.
Benefits of the Foundation or manner of determining them.
Reserve of right to modify the Foundation Act.
Duration.
Destiny and form of liquidation of patrimony, in case of dissolution.
All Foundations and its modifications, pay rights of registry and the annual tax fee, similar to corporations.In the same manner, they are subject to the limitations regarding money laundry product of drug dealing and similar dispositions established in Decree No. 468 of 1994.
The Inscription of the Foundation Act in the Public Registry grants the Foundation juridical personality. As well, this inscription can be regarded as a form of publicity.Notwithstanding the above, is valid for the Foundation to be constituted by means of a private document if it the signatures have been notarized before a Notary Public and objectives are implemented after the death of the founder, even when the Foundation has not been registered in the Public Registry before the death of the founder.
For all legal effects, the goods of the Foundation constituted an autonomous fund and the said goods may not be seized or subjected to any action or preventive measures, with the exception of the obligations incurred. The Foundation does not respond for the personal obligations of the founder or the beneficiary.
Foundations cannot be revoked, except:• When the Foundation Act has not been inscribed in the Public Registry.• When the Foundation Act expressly states that this can be done.• When the donations are revoked.• When the Foundation has been created so that its objectives are met after the death of the founder.
The legal binding dispositions in inheritance matters, valid in the domicile of the founder or of the beneficiaries, cannot be opposed to the foundation.
Any type of goods, present or future, whose origins are found in any legal business transaction, can be contributed to the Foundation. In addition, the founder may contribute with the initial patrimony desired and, consequently, once the Foundation has been constituted, he can transfer other goods so that there is no record of the actual patrimony of the Foundation in the Republic of Panama.
The Foundation Counsel will be in charge of the administration and observance of the purposes and objectives of the Foundation.
The Foundation Counsel must render an account of its handling of the beneficiaries to the supervising authority within the Foundation, at least once a year.
In the foundation Act, the founder of the Foundation can reserve himself the right to remove any member of the Foundation Counsel, as well as the right to designate or add new members. If the Foundation Act remains silent or regards to the removal of the members of the Foundation Counsel, these persons can be removed judicially on the basis of what stipulated on Article 22 of Law of June 12, 1995.
The Foundations constituted abroad, can be registered under Panamanian Law, issuing a Certificate of Continuance, which must contain:• The name of the Foundation and its date of constitution.• Registration information in the country of origin.• Expressed declaration of their wish to continue their legal existence as a Panamanian Foundation.• Requisites established in Articles 5 of the Law for the constitution of Private Interest Foundation.In addition, the following documents must be enclosed: Copy of the original Foundation Minute expressing the Foundations desire to continue its legal existence in Panama, along with any further modification, a Power of Attorney granted to a Panamanian lawyer.
All controversy which does not indicate a specific problem solving proceeding in the Law will be resolved through a summary proceeding. Notwithstanding the above, an arbitrary clause can be established in the Founding Act or in the Foundations regulations.MOST COMMON USE FOR PRIVATE INTEREST FOUNDATIONS:
Protection of defenseless people, for example minors and persons incapable of administrating their own goods or exposed to the danger of losing their patrimony.
For the continuity and conservation of family businesses.
To be the administrator of plans of distribution of utilities and pension programs to workers.
As a holder of shares and other goods from private companies. In these cases, the Private Interest Foundation works as holding entity.
As a mean for the collection of royalties and other type of credits.
As means for the investment of Trust Funds, shares, bonuses or other type values.
As the owner of movable and unmovable goods, such as art pieces.
For the managing of bank accounts, due to the fact that they constitute a safe and discrete means for the ownership of numbered accounts.
For the protection of assets, due to the fact that Private Interest Foundations are not allowed to be seized.
As a vehicle for the planning of the distribution of the family patrimony.
REQUIREMENTS FOR THE CONSTITUTION OF A TRUST FUND IN PANAMAI. LIVING TRUST FUNDS:
The living Trust Funds can be constituted by means of a private document or a public instrument.:The Trust Fund Constitution instrument must contain:
A complete and clear designation of founder of the Trust Trustee and Beneficiary. When future beneficiaries or type of beneficiaries are to be named, the circumstances under which they are to be identified must be established.NOTE: The founder of the Trust may be as well the Beneficiary of the Trust.
One designation of substitute Trustee and /or Beneficiary will be sufficient for the effects of identification.
A description of the assets or patrimony or part of it is in regards to the Trust.
An expressed declaration of the intention to create the Trust.
The imperium and obligations of the Trustee.
The prohibition and limitations imposed on the figure of the Trustee related to the execution of the Trust Fund.
The rules of augmentation, distribution or disposition, assets, incoming and utilities of the assets of the assets of the Trust Fund.
Place and date of creation of the Trust Fund.
The designation of a resident agent for the Trust Fund in the Republic of Panama, which must be an attorney or law firm who will countersign the public deed of the Trust Fund.
The domicile of the Trust Fund in the Republic of Panama.
The expressed declaration that the Trust Fund is created according to the law of the Republic of Panama.
II. TESTAMENTARY TRUST FUND:
The Fund that has the intention to begin functioning after the dead of the founder must be created by means of a testament. It can be created as well by means of a private document, without the formalities of a testament, if the Trustee is an authorized person to carry out such business activities in the Republic of Panama.The Testamentary Trust Funds must contain the same disposition than the Living Trust Funds.
III. ESTATE TRUST FUNDS IN THE REPUBLIC OF PANAMA:
They must be constituted by means of a public deed subject to registration in the Public Registry.
1. Exemptions regarding foreign Trust Funds: the acts of constitution, modification or termination of the Trust Fund, as well as the acts of transference, transmission, imposition and distribution of the assets of the Trust Fund and the incoming or utilities that arise from whichever of these or other acts, will be exempted of all tax, contribution, imposition or burden payable in the Republic of Panama, as long as the Trust Fund is created for:
Assets located abroad.
Monies deposited by individual legal entities whose incomes are not derived from Panamanian sources or is not taxable in Panama.
Shares or values of any type issued by corporations whose incomes are not derived from a Panamanian source, even if the aforementioned monies or shares are deposited in the Republic of Panama.
The aforementioned exemptions will not be applied to assets, moneys, shares or values mentioned in paragraph number I, II and II, if they are used in non exempted tax, contribution, imposition or burden operations in the Republic of Panama, with only exception of housing or urban development investments or industrial park investments in the Republic of Panama, in which case the products of such investments will be tax exempted.

Today watching the Alvaro Alvarado TV Show "Debate Abierto" I learned another easy scheme to "get away with it" and make some easy money in Panama.
The Ministers Ruben Blades and Balbina Herrera, Ariel Espino, Director of the Oficina del Casco Antiguo (OCA) declared with documentation in their hands supporting their words, that a Casco Viejo property owner, acquired several projects for an approximate of 300,000 and then he got bank loans for more that 4 Millions.
None of the properties have been restaured neither any of them has been developed.
So again how easy is to make fun of the justice and Panama.
Jobs and prosperity for the people seems idealistic and utopic.
How can we ask for juridical safety when a "investor" takes advantage of the situation and simply dont invest.

Reorder of Boquete District

El director ejecutivo del Consejo Nacional para el Desarrollo Sostenible (Conades), Daniel Robleto, manifestó que se procederá al reordenamiento ambiental y urbanístico del distrito de Boquete. El mismo tendra un costo de $355,000 aproximadamente.
Gracias a un acuerdo logrado entre la Anam (Autoridad Nacional del Ambiente) por sus siglas en español se permitirá la obtención de los fondos y ayuda logística para el reordenamiento.
Robleto dijo que se logrará la protección en materia ambiental que es uno de los principales objetivos de esta iniciativa.

The executive director for the National Council for Sustainable Development (Conades), Daniel Robleto, said that a reordering for environmental and urbanistic matters was approved and it will cost approximately $355,000.
The agreement with the Anam (Environment National Authority) will allow to get the funds and logistic assistance to complete this project.

Boquete, the paradise for retirees is living its first crisis.
More than 500 foreigners have come to Boquete to start a new life here.
The population grew so fast that the public aqueduct can't meet the water demand.
Besides that, you have to add all the construction projects demanding extra water.
Local and foreigners request that the IDAAN take over control over the municipalities water systems due to "manifest incapacity" of the Municipal authorities. But major Manolo Ruiz declared he wont permit it.
"This is a municipal good, and those whom came to Boquete, thinking it is a golden cup, are wrong". Ruiz said.

Ruiz said $300,000 were approved to increase and improve that water supply systems.

How to buy a Property in Panama

Step 1. Promise to Purchase Contract: A small down payment is made at the signing of the promise to purchase contract, usually about 10%. The down payment secures the property and establishes time for the title search and to coordinate payment arrangements for the closing. Registering this contract at the Public Registry ensures the property cannot be sold to another party during the escrow period. It should be stressed, however, that the down payment to the seller is a very important step in the process of securing real estate in Panama . Without having received any down payment, the seller has no legal obligation to hold a property before the actual close is made, and at any point can either change his mind, or opt for a better deal that may happen along, without any consequence.

Step 2. Title Search: To ensure that the property in question has clear title, free of any liens or liabilities we encourage a proper title search. For a price of 1.5-3% of the worth of the property it includes: a) verification that the seller in fact has title to the property and it is free and clear of encumbrances, liens, or other issues that could affect the free disposition or transfer of the title; b) a review of the official survey map, and a professional surveyor to physically verify the map points on the property (to avoid future boundary conflicts); c) verification of utility debts (water and sewage d) verification of payment of property taxes and/or of the tax exemption.

Step 3. Buy-Sell Contract: This contract is registered at the Public Registry and the final balance is paid to the seller, or an escrow agent. Payment is made when the title is transferred to the buyers' name. Payment can be issued by a bank, contingent on receiving from the seller proper title to the property. The buyer can open a bank account (or get a mortgage) and then formally request that the bank issue payment as soon as it is presented with the registered public deed transferring title to the buyer. Real estate agents normally get paid only when the sale closes.

Step 4. Title Transfer: The buyer officially owns the property when the title is transferred to the buyers' name. The transfer occurs when the buy-sell contract is signed by each party and registered at the Public Registry. If the title is in the name of a corporation, there is no transfer of title, only a transfer of shares of the corporation. The buyer can keep the same officers in the corporation or appoint new members. Buyers of corporate titled properties through the purchase of the corporation itself, should ensure the annual corporation tax (Tasa Unica) is up to date. A change of corporate officers cannot be officially recorded at the Public Registry if the Tasa Unica is in arrears.

A las 19 comunidades que integran la confederación de habitantes de las áreas revertidas les salió el "diablo" ayer. El Ejecutivo sancionó la Ley 12 que modifica la Ley 21 de 1997 que aprueba el plan regional para el desarrollo de la región interoceánica. Justamente lo que este grupo temía porque argumentan que expone la cuenca del Canal de Panamá a usos urbanísticos.

Raisa Banfield, ambientalista y miembro de la confederación, asegura que con esta decisión se abre la puerta para que "potencialmente" el 60% de la cuenca del Canal pueda ser desarrollada.

La Ley 12 fue publicada ayer en la Gaceta Oficial 25,731. José Batista, director de Desarrollo Urbano, defendió el proyecto alegando que se trata de una forma de evitar los asentamientos informales dándole la seguridad a los propietarios de tierras de que pueden hacer cierto tipo de desarrollo controlado. Dijo que la ley es transitoria mientras se trabaja, junto a la Autoridad del Canal de Panamá (ACP) en una propuesta que reformaría la Ley 21. Destacó el hecho de que si la ACP considera que el proyecto a desarrollar afecta a la cuenca la puede vetar.

Nuevas perspectivas para Howard

Al menos cinco grandes empresas internacionales están interesadas en instalarse en la antigua base aérea de Howard, donde opera un área económica especial bajo un favorable régimen fiscal de exportación y desarrollo de alta tecnología. Entre dichas empresas figuran la Edward W. Easton Group Corp., Cabi Control, Codina Group Inc., china Aerospace Sciense y London Regional Properties.
Contrario a lo que se cree o piensa, esas empresas no están aquí de paseo ni de turismo, aunque para eso sean también bienvenidas. Están precalificando para una licitación programada para el año próximo. Se trata de evaluar el potencial de la oferta de cada una, de modo que, sean cuales fueren las favorecidas, se garantice el sueño del despegue de Howard.
Su ubicación estratégica y la posibilidad de que se construya un gran puerto en su proximidad, en el área de Farfán, con un complejo hotelero de envergadura que acaba de iniciar operaciones, el Playa Bonita Resort, con una capacidad inicial de 200 habitaciones, aumenta su atractivo. Howard cuenta con un aeropuerto internacional, actualmente en desuso, hangares, depósitos, viviendas, áreas de recreo, entramado vial y de servicios públicos, etc. También tiene a su haber la proximidad del Canal y a la Ciudad de Panamá.
Howard asegura, pues, un destino promisorio para Panamá Oeste, tan necesitada de más fuentes de empleo. Pero, repetimos lo mismo que expresamos con relación al futuro puerto de Farfán, es necesario que el Gobierno y los ciudadanos del área se preparen para lo que viene, de modo que puedan sacarle máximo provecho a la inmejorable oportunidad que se les viene encima.

UNA GUERRA de nervios se vivió ayer en la apertura de sobres para conocer la empresa que desarrollará el plan maestro de la antigua base de Howard.

Faltando 10 minutos para que venciera el tiempo de entrega de las propuestas, que era a las 11 de la mañana, ninguno de los dos interesados tomaba la iniciativa.

Después del tercer llamado a las 10: 54, el director de London & Regional Properties, Jason Mills, presentó su propuesta y un minuto después la empresa Howard Acquisition hizo lo mismo.

Con el paso de los minutos aumentaba la tensión, los celulares no dejaban de sonar y el administrador de la Agencia del Área Económica Especial Panamá (AAEEPP), Gilberto Ferrari, se levantaba por tercera ocasión ante la expectativa por conocer quién ofrecería más.

Después de 20 minutos se leyeron las propuestas y se conoció que London & Regional Properties ofreció 405 millones de dólares, tres millones más que su rival Howard Acquisition que ofertó $403 millones, situación esta que provocó murmullos entre los participantes ante lo cercano de ambas propuestas.

Además, ambas empresas ofrecieron pagar $20 millones al Estado al momento de firmar el contrato.

PROXIMO PASO
Aunque el consorcio London & Regional Properties es el virtual ganador para desarrollar el plan maestro de Howard, ambas propuestas serán analizadas por una comisión técnica dirigida por Nilda Quijano, gerente general de la Zona Libre de Colón.

Esta comisión tendrá 10 días calendarios para revisar la documentación, para luego anunciar quien tendrá el derecho de explotar por 40 años las 1, 400 hectáreas que posee la antigua base militar.

LONDON & REGIONAL PROPERTIES
Luego del acto, y visiblemente emocionado, el director de London & Regional Properties dijo que tienen muchos planes para Howard, entre los cuales está el crear centros de capacitación de alto rendimiento y atraer a las principales multinacionales.

London & Regional Properties es una de las compañías privadas más grandes del Reino Unido, con un movimiento financiero de 4 mil 200 millones de dólares al año.

Por su parte, el representante de la firma norteamericana, Howard Acquisition, el ex candidato presidencial, José Miguel Alemán, destacó la transparencia del acto y reconoció la victoria de su contendor.

INVERSION
Al adjudicarse la realización del plan maestro de Howard, la empresa London & Regional Properties deberá invertir los $405 millones en ocho años.

De esta cantidad, $60 millones se invertirían en el segundo año de la concesión, $80 millones en el cuarto año y una cifra similar en el sexto año. Mientras, en el octavo año tendrá que invertir $185 millones.

En relación con la inversión, el administrador de la AAEEPP, indicó que el impacto de los $405 millones en la economía podría generar beneficios por $1, 000 millones.

DESARROLLO
Howard tiene el potencial de generar una inversión mínima de 600 millones en 20 años, creando unos 22, 000 empleos directos y 55, 000 indirectos, según la Corporación Financiera Internacional, organismo del Banco Mundial.

El 26 de julio de 2006, el Consejo de Gabinete autorizó un contrato directo con Singapur Aerospace para el arrendamiento por 20 años de cuatro hangares.

Un corto vuelo de 20 minutos desde la Ciudad de Panamá le hará vivir el pasado de 20 siglos, cuando visite la tierra de los indios Kunas quienes aún conservan sus hábitos de vida milenaria y sus viejas costumbres. By far the most easy way to get to San Blas is by booking a national (return) flight from Panama City. Flights are well affordable (circa 80 dollar for a return flight). Flights go to a large nuber of islands in the San Blas archipel, and if one of those islands is not your final destination it is usually easie to book a boat from the nearest airstrip.

Flights go daily, but do sell out quickly. So, you'll have to make reservations as soon as possible. Reason is that the planes are very small, and they work more like busses. You'll hop from island to island until you reach your destination.

So, be aware that flights only go once per day. So you'll need to have made reservations for your hotel as well in order to avoid being stuck at a San Blas airstrip.

National flights go in Panama City From Aeropuerto Marcos A Gelabert, better known as Albrook Airport. This is not the same airport as Tocumen Airport, which is for international flights.

There are two operators that fly to San Blas: Aeroperlas and Air Panama. Their rates are identical and the flight schedules are also almost identical. Booking is possible at the airport, a local travel agency or directly by phone or internet:

Summary: IMG was retained as a technical and financial consultant for the Government of Panama (GOP) and the IFC, a World Bank subsidiary, to assist in determining the feasibility and structuring of the sale / concession of more than 5,000 acres of the former U.S. Howard Air Force Base (HAFB) in the Republic of Panama. The project consists of the redevelopment of the largest military base in the region, and converting it into a major economic development zone through commercial, industrial, and residential development in partnership with the private sector. The property is located approximately 10 miles south of the center of Panama City and includes over 400 acres of land reserved for an international airport, and over 2.5 million square feet of built property that housed over 20,000 people.

Issue: As a part of the ownership transfer of the Panama Canal to the Republic of Panama in 1999, many military bases and other land tracts became the responsibility of the GOP. With HAFB in particular, the GOP wanted to encourage development that would benefit the country through economic growth and job creation. The IFC and IMG were retained to assist the GOP in developing creative "out-of-the-box" ideas that would achieve these goals through private sector participation.

Solution: IMG conducted numerous technical financial studies and surveys of potential interested parties to determine the requirements for bringing a master developer to the project capable of meeting the GOP’s goals. In addition, IMG assessed the demand characteristics of the Panamanian market as well as the area’s transportation systems and links to understand their impact on the feasibility of the project. A financial feasibility study, from the perspective of the prospective master developer, was conducted to determine appropriate pricing for the property.

IMG also under took a thorough evaluation of the property. Specifically, a physical and environmental assessment of all facilities was conducted by IMG to facilitate the development of a land use plan and project master plan. In addition, an environmental baseline study was completed and provided to potential concessionaires.

Value Created: As a result of work in the early years of the project, the GOP accorded HAFB status as a special economic zone that establishes unique labor and trade laws as well as tax breaks for businesses that will create the type of jobs sought by the GOP. IMG helped to develop the required information for the comprehensive terms of reference that were issued in November of 2005, and provided marketing assistance that resulted in a successful pre-qualification in early 2006. With additional IMG assistance in the development of the RFP and throughout the proposal evaluation process, a long-term agreement is to be signed in 2006.

The pictures are one of the most common things clients and visitors are looking for. Also they are looking for prices. You have to understand that accurate prices is what people need. When I invested in one of the pacific hill's project PH ELMARE I took my chances since the development was in early stages when I applied for a mortgage at HSBC bank.

CUANDO EN 1880 el constructor francés Ferdinand de Lesseps daba inicio a la construcción del Canal de Panamá, surgía la atracción de los franceses por Panamá.

Así lo reconoce Christine Lagarde, ministra de Comercio Exterior de Francia, quien se encuentra en Panamá llena de "emoción y curiosidad", pues señala que este es un país que "constituye la ilustración misma de la globalización de nuestras economías, globalización que favorece el desarrollo de numerosos países".

"El mundo entero pasa por Panamá", afirmó sin vacilación.

Panamá, agregó la funcionaria, está abierto a todos los países, a todos los intercambios, y se sabe muy bien que el desarrollo de los intercambios crea riqueza y fomenta el crecimiento.

Esta pequeña nación, añadió, "ha entendido lo importante que es adaptarse. La globalización lo impone y las grandes obras puestas en marcha por las autoridades panameñas demuestran precisamente este deseo de anticipar, de adaptarse a los cambios del comercio internacional, y quedarse en la delantera".

RELACIONES COMERCIALES
En este momento Francia es el primer proveedor europeo de la Zona Libre de Colón en cuanto a cosméticos, productos farmacéuticos, vinos, licores, y prendas de vestir, alcanzando un promedio anual de 120 millones de dólares.

Esa nación compra anualmente a Panamá productos agrícolas y de pesca por un valor de 15 millones de dólares.

AMPLIACION DEL CANAL

Lagarde informó que la empresa Suez sigue hoy día este trabajo de definición de las esclusas, mientras que la también francesa Vinci está también muy interesada.

Dijo que existen otros aspectos que interesan a las empresas franceses, como los aspectos de financiamiento y construcción.

With a firm collect signed by more that 1,100 people from El Cangrejo area, a group of residents and neighbours of the Andres Bello Park, requested an special normative for all the free adjacents lots at the Dirección de Desarrollo Urbano del Ministerio de Vivienda.

Actually, as alledged by the members of the community, there is no limitation for height or lateral spacing areas. The non existence of this rule, creates the posibility that new tall buildings would close the park inside of concrete walls, taking in count the real state boom in Panama

La Prensa. ACCIÓN CIUDADANA. Con la firma de mil 100 personas de El Cangrejo, un grupo de vecinos del Parque Andrés Bello solicitó a la Dirección de Desarrollo Urbano del Ministerio de Vivienda la aprobación de una normativa especial para los lotes que colindan con este parque, ubicado en Vía Argentina.

Actualmente, alegan los vecinos, no existe ninguna limitación ni de altura ni de retiros laterales para la construcción de edificios en el lugar por lo que se pueden levantar estructuras que se convertirían en una muralla que bien podría terminar rodeando el parque considerando la presión urbana y el boom inmobiliario.

Panama real estate investment toped 2.7 Billion in 2006 according to Acobir (Asociación Panameña de Corredores y Promotores de Bienes Raíces).

It skyrocketed and improved by 25% compared to 2005. It represents the 17% of the PIB (Gross National Product) of the country.

The panamanian economy growth projection for 2007 is for 8%. 2005's was for 7%.

Ivan Carlucci Sucre, Acobir's president, said that this is not a "bubble", but a steady development flow. Construction Permissions for more that 1 Billion were tramited for this year.

London & Regional (L&R) is one of the largest private property companies in Europe with investments, developments and business interests exceeding €5.5 Billion in over 8 countries, including the UK, Scandinavia, Germany, Poland, South Africa and Russia.

According to La Prensa newspaper website, L&R 405M offer was the highest in the licitation process, and toped its closest competitor, the american "The Easton Group", to win the rights to develop Howard, a former US Air Force Base that reverted to Panama thanks to the Torrijos-Carter treaty signed in 1977.

Howard is also known as the Área Económica Especial Panamá-Pacífico (AEEPP). (Panama-Pacific Special Economic Area). The plan of development that spans a period of 40 years includes real estate, call centers and industrial projects.

Jason Mills, projects development director for J&R, said that they want to build iconic buildings in Howard's hills, so everyone who travel trough the Panama Canal will clearly spot the exact place where Howard is located.

Buying properties in Panama from Abroad

Though it is always recommendable to view a property in person before deciding on purchase, it is not necessary to be in Panama in person to complete property sale transaction.

There are two options to choose from when purchasing real estate from abroad.

The first option is to purchase the property in the name of a corporation, and have your local attorney appoint your nominee directors whom sign on your behalf. This option does have a slightly higher out of pocket expense, in most cases 1000-1200 USD per corporation. There are also yearly renewal fees which generally vary from 600-800 USD per year.

The two principal advantages of purchasing property in the name of a corporation are:

Property owners receive a certain level of asset protection from frivolous law suits and nasty divorce settlements by having the property in a name of a corporation rather than in there own name.
Should you decide to sell the property at a later date, you will be exempt from having to pay a 2% transfer tax on the property. This is so because upon sale, shares of the corporation which owns the property would be transferred, rather than the property itself.
The second option to purchase a property from abroad would be to have a power of attorney issued to a local representative, Apostilled or Authenticated by your local Authentication Authorities.

Documents issued in one country, which need to be used in another country must be legalized before they will be recognized as valid in the foreign country. If your document is intended for use in a country which is party to the Hague convention, which Panama is, then a special authentication by the name of an Apostille will be needed.

Panama Labor Laws – A Crash Course for New Employers
Introduction- This is an overview of some of the unique features in Panama Labor Law designed to help the new employer. This could be one employing a maid, a driver or a new business operating in Panama. This is not a comprehensive guide and should not be construed as legal advice.
Panamas Thirteen Month – This one is a winner for most North Americans and people from the EU. In Panama the workers get paid 13 months for every twelve, really. The pay is given to them every three months, one week at a time. When calculating wages take this into account. The thirteenth month pay is given on a certain schedule and if the person ahs not worked the full ninety days they still will get a pro-rated portion of their thirteenth month pay.
Panama Vacation Pay – After 11 continuous months of employment the Panama employee is entitled to one months paid vacation. If you are doing your math the get paid 14 months for every twelve worked. If you want your employee to work on the vacation period it is optional for them and you would be obligated to pay them double. You have no obligation to give them their vacation pay at the six month mark.
Panama Holidays – See below. As you can see there are a lot of holidays. From November to February there are many holidays and you need to plan for them before they are upon you. You can ask employees if they wish to work and pay them double pay for the holiday time worked.

Employee Taxes – Figure on 11% your contribution and 7% as their contribution for the whole package of retirement and government medical. This is quite low. There is no workman’s compensation insurance, no unemployment insurance, no disability insurance and no extra insurances so the amount of employer contribution is really dramatically low.
Maternity Leave – This is a real complex area and you will need legal counsel if confronted by this from a pregnant employee. There can be extensive leave during and after the pregnancy. If the doctor says it is a high risk pregnancy the worker may wind up sitting home with full pay. If you insist she works you may wind up paying for her medical expenses such as the delivery, special care etc. Do not fire someone because they are pregnant. Do send the worker for independent testing of the pregnancy where a photo ID would be required of the person to be tested. In a word talk to your lawyer, stay calm, be nice and see legal counsel immediately so you do not make a mistake.
